You will not provide inaccurate, misleading, defamatory or false information onto the Platform or to any other user of the Tutoring Company Service, and all opinions stated as part of User Content must be genuinely held. You represent and warrant to us that you have the right and authority to post all information you post about yourself or others on the Platform.
5.2 Where you submit User Content specifically for publication or display through the Tutoring Company Service, such as a review, testimonial or public profile information, you grant the Tutoring Company a non-exclusive, royalty-free licence to use, reproduce and display that content for the purposes of operating and promoting the Tutoring Company Service.
This licence does not apply to private messages, correspondence, account information or other content which is not intended for public display. Any personal data contained in User Content will be processed in accordance with our Privacy Policy and applicable Data Protection Laws.
5.3 Tutoring Company may review and remove any User Content that, in its sole opinion, violates these Terms, violates applicable laws, rules or regulations, is abusive, disruptive, offensive or illegal, or violates the rights of, or harms or threatens the safety of, other users of the Tutoring Company Service. Tutoring Company reserves the right to prevent further access to the Tutoring Company Service for violating the Terms or applicable laws, rules or regulations.
5.4 Tutoring Company does not represent or guarantee the truthfulness, accuracy, or reliability of User Content, derivative works from User Content, or any other communications posted by users of the Tutoring Company Service nor does Tutoring Company endorse any opinions expressed by users of the Tutoring Company Service.
6. Assignment requests and contract creation (relating to each Assignment)
6.1 Tutoring Company may make available to Tutors Assignments arising from enquiries submitted by Clients through the Platform or otherwise, and Tutors can request or accept these Assignments on the Platform or otherwise as provided for by the Tutoring Company. You are solely responsible for any request for or acceptance of an Assignment made by you on the Platform.
6.2 You agree that each Assignment request shall not contain inaccurate, false, or misleading information. Tutoring Company reserves the right to remove any Assignment requests or content from the Platform or its other records which, in Tutoring Company’s opinion, does not comply with these Terms or if any of the content is not in the best interests of Tutoring Company.
6.3 Contract formation for employment business Assignments: Where a Client books a RockJam Workshop with the Tutoring Company and a Tutor agrees with the Tutoring Company to undertake a RockJam Assignment, the Tutoring Company acts as a contractual intermediary and employment business. The relevant contractual arrangements are:
(a) between the Client and the Tutoring Company under the RockJam Client Terms & Conditions; and
(b) between the Tutor and the Tutoring Company under the RockJam Tutor Terms & Conditions.
For the avoidance of doubt, under this arrangement the Client does not contract directly with the RockJam Tutor for the Tuition Services.
6.4 Contract formation for employment agency Assignments: Where a Tutor has been Introduced to a Client and the Tutor and Client indicate or have indicated via the Platform or otherwise in such fashion as is from time to time specified by the Tutoring Company that:
(a) (in the case of the Tutor) the Tutor will undertake the relevant Assignment for the Client with the Tutor making a direct supply to and contract with the Client (with the Tutoring Company acting as an introducer and employment agency and not as a contractual or payment intermediary), and
(b) (in the case of the Client) the Client will engage the Tutor to supply the services of the Tutor for the Assignment with the Client engaging the Tutor directly (with the Tutoring Company acting as an introducer and employment agency and not as a contractual or payment intermediary).
then you agree that a contract relating to an Assignment will be deemed to have been entered into:
(c) by you as a Client with the Tutoring Company under the Private Tuition Client Terms & Conditions ;
(d) by you as a Client with the Tutor on such terms as you and the Tutor agree directly between yourselves, which may include the HHMS Client-Tutor Assignment and Tuition Agreement template; and
(e) by you as a Tutor with the Client on such terms as you and the Client agree directly between yourselves, which may include the HHMS Client-Tutor Assignment and Tuition Agreement template.
For the avoidance of doubt, use of the HHMS template is optional and the Tutoring Company is not a party to the direct tuition contract.
6.5 Contract formation for other Assignments where an Introduction has been made and Engagement follows: Where a Tutor has been Introduced to a Client and Client (otherwise than in accordance with clause 6.4) Engages the Tutor, you as a Client agree that a contract relating to an Assignment will be deemed to have been entered into by you as a Client with Tutoring Company on these terms Private Tuition Client Terms & Conditions .
6.6 For the avoidance of doubt, where the Tutoring Company acts as an employment agency it shall have no right to control how the Tuition Services are performed or responsibility for how they are performed. Decisions about lesson content, teaching methods, learning materials, teaching approach, Student progress and learning goals, and practice or home learning are matters for the Tutor. Further detail is set out in Part B, Section 14 (Your status as a self-employed Tutor).
6.7 An “Introduction” for these purposes means the earlier of the following events:
(a) the Tutoring Company supplying to the Client, orally or in writing (including via any online platform), any information sufficient to identify a Tutor, or
(b) the Client interviewing the Tutor in person or otherwise.
6.8 An “Engagement” means for these purposes any Engagement under clause 6.4, and any other direct or indirect engagement (temporary or permanent), employment or use of a Tutor by the Client or any third party to whom the Client provides information concerning a Tutor within 6 months of an Introduction, and “Engage”, and “Engaged” shall have corresponding meanings.
7. Optional payment arrangements for employment agency Assignments
7.1 In relation to Assignments under clause 6.4 or 6.5 above (involving the Tutoring Company acting as an employment agency) you may, at your option, agree with each other that the Tutor shall issue invoices to the Client and the Client shall pay the Tutor via Stripe Connect, which shall act as payment agent (the “Payment Agent”). Where this payment arrangement is used, payments are processed through TutorCruncher and Stripe using Split Payments, whereby a single payment from the Client is split between the Tutor’s fee, which is paid to the Tutor’s Stripe Payouts Account, and the HHMS Admin Fee, which is paid to the Tutoring Company.
7.2 TutorCruncher and Stripe Connect are independent third-party service providers. The Tutoring Company makes the split-payment arrangement available for the convenience of Clients and Tutors but does not receive or hold the Tutor Fee and is not responsible for payment of the Tutor Fee to the Tutor. The Tutoring Company shall not be liable for any failure by the relevant third-party payment provider to process or transfer payments correctly, except to the extent that any liability arises from the Tutoring Company’s own breach, negligence or other liability which cannot lawfully be excluded or limited.
7.3 TutorCruncher and Stripe Connect are third-party services with their own applicable terms and privacy arrangements. Practical detail on how this arrangement works for Tutors is set out in Part B, Section 17 (Getting paid).
8. Liability
8.1 While Tutoring Company reserves the right in its sole discretion to remove User Content, assignment postings, CVs or other material from the Platform or other filing system it may use from time to time, Tutoring Company does not assume any obligation to do so and to the fullest extent permitted by law, excludes any liability for failing to take any such action.
8.2 You agree that the Tutoring Company Service is provided without warranty and we do not warrant or represent that the Tutoring Company Service (including the Platform) will meet your requirements or that its operation will be uninterrupted or error free. We do not make any warranty as to the accuracy or reliability of any information obtained through the Tutoring Company Service.
8.3 The Platform may contain links to other websites. We accept no responsibility or liability for any material supplied or contained on any third party website which is linked from or to the Platform, or any use of personal data by such third party or any use by any person of any services provided by any such third party.
8.4 We shall only be liable to you for loss or damage caused directly and reasonably foreseeable by our breach of these Terms and our liability in these circumstances is limited as set out below.
8.5 In no event shall we, persons who act on our behalf, and/or persons we enter into contracts with be liable for any of the following types of loss or damage arising under or in relation to these Terms (whether in contract, tort (including, without limitation, negligence) or otherwise):
(a) any loss of profits, goodwill, business, contracts, revenue or anticipated savings even if we are advised of the possibility of such loss of profits, goodwill, business, contracts, revenue or anticipated savings;
(b) any loss or corruption of data; or
(c) any loss or damage whatsoever which does not stem directly from, or which results only as a consequence of, any loss or damage caused by our breach of these Terms.
8.6 Notwithstanding the above, our total liability (whether in contract, tort, negligence or otherwise) to you, for any loss or damage shall be limited to £5,000.
8.7 Nothing in these Terms shall exclude or limit our liability in respect of death or personal injury caused by negligence or fraud (including fraudulent misrepresentation) or any other liability which cannot by law be limited or excluded.
9. Indemnity
You agree to indemnify, defend and hold harmless the Tutoring Company and its officers, subsidiaries, affiliates, successors, assigns, directors, agents, service providers and employees from and against any and all claims, losses, expenses or demands of liability, including reasonable legal fees and costs incurred by the Tutoring Company in connection with any claim by a third party (including an intellectual property claim) arising out of: (i) the materials and content you submit, post or transmit through the Platform or otherwise supply to us; or (ii) your use of the Platform or the Tutoring Company Service in violation of these Terms or in violation of any applicable law, except to the extent that any such claim, loss, expense or liability is caused or contributed to by the Tutoring Company.
10. Term
10.1 Tutoring Company reserves the right, at its sole discretion, to immediately terminate your access to all or part of the Platform and the Tutoring Company Service, to remove your User Account and/or any User Content posted by or about you, from the Platform, and/or to terminate your registration with the Tutoring Company Service, with or without notice if Tutoring Company determines that you are not eligible to use the Tutoring Company Service or if you have violated any of these Terms.
10.2 Tutoring Company reserves the right, at its reasonable discretion, to apply procedures to detect and prevent breaches of these Terms or to monitor use of the Tutoring Company Service generally. These Terms will remain in full force and effect while you are a user of the Platform or a registered user of the Tutoring Company Service. Tutoring Company reserves the right to close your User Account and terminate these Terms with you at any time by providing you with thirty (30) days’ notice if Tutoring Company ceases to provide the Tutoring Company Service in the United Kingdom. Tutoring Company reserves the right to close your User Account and terminate these Terms with you at any time after a significant duration of inactivity. If Tutoring Company terminates your User Account because of a breach by you of these Terms, you agree that you will not seek to register with the Tutoring Company Service again, whether using the same or a different identity to that under which you were originally registered.
11. Changes to these Terms
These Terms may be amended by us at our discretion from time to time and the latest version will always be available on the Platform or other communication system we notify to you. Any new version of these Terms shall take effect, and will govern the Tutoring Company Service and your relationship with us: (i) immediately upon the date of posting on the Platform where the changes to these Terms relate to a new feature/service or non-material changes, which (in either case) do not reduce your rights or increase your liability to us; or (ii) no less than thirty (30) days after the date of posting on the Platform where the changes to these Terms potentially reduce your rights or potentially increase your liability to us. Please make sure you check for updates to these Terms each time you use the Tutoring Company Service.
12. Privacy
12.1 You agree that any and all personal information you provide to us may be collected, stored, processed and used in accordance with our current Privacy Policy which can be found here: HHMS Privacy Policy.
12.2 The Tutor acknowledges that the Tutoring Company and the Client may process the Tutor’s personal data for purposes connected with the provision or contemplated provision of the Tuition Services, including:
(a) the collation of reviews on the Tutor, contract administration and purposes connected with the performance of an Assignment; and
(b) transferring and/or processing the Tutor’s personal data outside the United Kingdom where necessary for purposes connected with the performance of an Assignment, subject to applicable Data Protection Laws and appropriate safeguards where required.
Any such processing will be carried out in accordance with applicable Data Protection Laws and, in the case of the Tutoring Company, its Privacy Policy.
13. General
13.1 If any of the terms and conditions in these Terms are found to be illegal, invalid or unenforceable by any court of competent jurisdiction, the rest of these terms and conditions shall remain in full force and effect.
13.2 Only you and Tutoring Company shall be entitled to enforce these Terms. No third party shall be entitled to enforce any of these terms and conditions, whether by virtue of the Contracts (Rights of Third Parties) Act 1999 or otherwise.
13.3 These Terms set out the entire agreement between you and us with respect to your use of the Tutoring Company Service and supersede any and all representations, communications and prior agreements (written or oral) made by you, except for any information or terms which form part of the agreement by operation of law.
13.4 These Terms are governed by the law of England and Wales. In the event of any matter or dispute arising out of or in connection with these Terms, you and we shall submit to the exclusive jurisdiction of the courts of England and Wales.
Part B – Working with HHMS as a Self-Employed Private Tuition Tutor
This Part applies where you use HHMS’s employment agency services in connection with Private Tuition Assignments. It covers your status, joining HHMS, how Private Tuition Assignments work, getting paid, safeguarding, health and safety, and who to contact for what. It applies in addition to Part A. RockJam Tutors are engaged separately under the applicable RockJam Tutor Terms & Conditions.
14. Your status as a self-employed Tutor
14.1 You are self-employed. HHMS introduces you to Clients as an employment agency. We are not your employer, and the tuition contract is between you and the Client, not between you and us. HHMS introduces individual self-employed Tutors only, so you contract with Clients in your own name rather than through a limited company or other corporate entity.
14.2 You control how you teach. Lesson content, teaching methods, learning materials, your teaching approach, how you track a Student’s progress, and any practice or home learning you set are all your decisions. We do not direct how you teach. You are free to tutor or work for other clients and organisations, and you never have to accept work we offer you.
14.3 Because you are not our employee or worker, HHMS does not provide:
(a) paid annual leave or holiday pay;
(b) Statutory Sick Pay or contractual sick pay;
(c) employer pension contributions or automatic enrolment into an HHMS workplace pension; or
(d) any other benefits or rights arising from being an employee or worker of HHMS.
14.4 HHMS does not operate PAYE or deduct Income Tax or National Insurance contributions from your Tutor Fee. You are responsible for:
(a) declaring your income to HMRC where required;
(b) paying any Income Tax and National Insurance contributions for which you are liable;
(c) registering with HMRC where required;
(d) keeping appropriate business and tax records;
(e) submitting any required tax returns; and
(f) dealing with VAT or any other tax obligations that apply to your own business.
14.5 Your Tutor Fee is the fee agreed between you and the Client. Using TutorCruncher or Stripe Connect to handle payment does not make HHMS your employer and does not change responsibility for your own tax and National Insurance affairs.
14.6 HHMS does not guarantee you any minimum number of Introductions, Assignments or hours of work.
14.7 Employment and tax status depend on the actual circumstances of the working arrangement, not simply on how it is described in these Terms. If you are unsure about your tax position or employment status, you should obtain independent advice or consult HMRC or Acas.
15. Joining HHMS: checks, documents and insurance
15.1 By registering a User Account as a Tutor, you acknowledge that HHMS may use information provided by you, including by passing relevant information to third parties where necessary, so that, so far as reasonably possible, the accuracy of that information can be checked by or for Clients (“Tutor Checks”). Where applicable law or the nature of a particular Tutor Check requires specific consent, permission or authorisation from you, HHMS will obtain this before carrying out that check.
15.2 Depending on the circumstances, Tutor Checks before you receive private tuition Introductions may include identity and Right to Work checks, references, experience and qualification information, DBS and criminal record checks where applicable, and confirmation of appropriate insurance. How each is collected is set out below.
Experience and qualifications
Provided by you when completing the online application form. Supporting documents may be uploaded to your TutorCruncher account or sent by email during onboarding.
References
Referee details are provided by you when completing the online application form or during onboarding.
Identity and Right to Work
Following interview, HHMS carries out an identity and Right to Work check using an appropriate verification method. This may be an in-person check of original documents, a Home Office online check using your share code, or a check through a registered Digital Verification Service provider, depending on your circumstances. HHMS will confirm which method applies and what is needed, and retains a record of the check. No Engagement begins until this check is satisfactorily completed.
DBS and criminal record checks
Where required, the original Enhanced DBS certificate, including a check against the children’s barred list where applicable, is inspected. Where a new Enhanced DBS check is required, HHMS may, with your permission, facilitate the application on your behalf.
15.3 HHMS does not guarantee the accuracy to Clients of any information, and a Client may request further verification from you regarding this information or the Tutor Checks. Any additional checks a Client requires can be requested via the Platform or another system HHMS notifies to the Client, and will be notified to you if and when they are requested.
15.4 The information you give us is what our Client Introductions and our regulatory records are based on, so it needs to be accurate and current. Please let us know promptly if anything relevant changes.
15.5 Insurance
You are responsible for arranging and maintaining appropriate insurance in respect of your Tuition Services. You are not covered by any insurance maintained by HHMS in respect of your independent provision of those services.
(a) A Tutor accepted by HHMS for Private Tuition Assignments on or after 1 September 2026 holds and maintains throughout each Assignment:
(i) public liability insurance with minimum cover of £1 million.
(b) Evidence of this insurance is provided to HHMS on request, and HHMS may ask for evidence from time to time. Please tell us promptly if any such insurance expires, is cancelled or otherwise stops meeting these requirements.
Insurance requirements for RockJam Assignments are dealt with separately under the RockJam Tutor Terms & Conditions.
15.6 The following documents are referred to in these Terms and are relevant to your use of the Tutoring Company Service:
(a) the Child Safeguarding Policy; and
(c) the HHMS Privacy Policy.
Current versions are available through the HHMS website or through links provided by HHMS.
16. How Assignments work
16.1 Where a Client enquiry may suit you, HHMS may contact you with information about the prospective Assignment. You are free to accept or decline.
16.2 If you are interested, you give HHMS your proposed Tutor Fee and HHMS passes it to the Client. The Tutor Fee is agreed between you and the Client before the Assignment begins. If the Client proposes a different fee, you remain free to accept or decline it. If you and the Client cannot agree a fee, the Client may ask HHMS to look for another Tutor.
16.3 Where you and a Client wish to proceed, the arrangements for the Tuition Services, including the Tutor Fee, lesson length and frequency, usual day and time, location, cancellation arrangements and any notice arrangements, are agreed directly between you. HHMS may provide a Template Client-Tutor Assignment and Tuition Agreement for convenience if you both wish to use it, but you are free to agree your own terms instead. Any contract for the Tuition Services is between you and the Client. HHMS is not a party to it, though it may record agreed Assignment details for administrative purposes.
16.4 Cancellations and rescheduling are governed by the terms you and the Client have agreed. Where the HHMS template is used, it provides for a 24-hour cancellation period unless you agree otherwise. If a Client wants to reschedule, you can agree an alternative date and time directly with them, subject to your availability. You do not need HHMS’s permission to do so.
16.5 You and a Client can agree changes to the Tuition Services directly between yourselves. Where a change affects the administrative information HHMS holds, including the regular lesson day or time, frequency or duration, Tutor Fee, location, rescheduled or additional lessons, or whether an Assignment is continuing, please notify HHMS promptly so that TutorCruncher, invoicing and the relevant administrative records can be updated.
16.6 If a Client proposes continuing an HHMS-introduced tuition arrangement outside HHMS, please notify HHMS before any change is agreed so that we can deal with the relevant administration and any obligations the Client may have under the Private Tuition Client Terms & Conditions. Any fee due under those terms is a matter between HHMS and the Client.
16.7 Notice arrangements for ending an Assignment are for you and the Client to agree. Where the HHMS template is used, the standard notice period for an ongoing Assignment is 14 days unless otherwise agreed in writing. Telling us the end date means your schedule and our records can be updated. Ending an Assignment with one Client does not affect your ability to accept other Introductions from HHMS.
16.8 When HHMS first offers you a potential Assignment, it usually arrives as a TutorCruncher job application containing enough information for you to decide whether it suits you, but not the Client’s or Student’s full identifying details. Once you and the Client have agreed to proceed, HHMS provides the details you need through TutorCruncher or another appropriate method. Personal information you receive should be kept secure and used only for that Assignment.
17. Getting paid
17.1 Where you and the Client use the optional payment arrangement described in Part A, Section 7, a single payment from the Client is split at source: your Tutor Fee goes to your Stripe Payouts Account, and the HHMS Admin Fee goes to HHMS. HHMS does not receive or hold your Tutor Fee at any point.
17.2 Invoices are generated from what is recorded in TutorCruncher. Marking a lesson as Completed, or as Cancelled and Charge where the agreed cancellation terms allow it, triggers the invoice to the Client. A lesson that is not marked does not generate an invoice.
17.3 HHMS manages the lesson schedule in TutorCruncher based on what you and the Client have told us, so you do not need to create, reschedule or add lessons yourself. The lessons already on your schedule are the ones that need marking.
17.4 TutorCruncher can also be used to view your schedule, see relevant Client and Student information, complete lesson reports where applicable, view invoices and payment information, and keep your account details current.
17.5 TutorCruncher and Stripe Connect are third-party services with their own terms and privacy arrangements, which apply to you separately from these Terms.
18. Safeguarding
18.1 Safeguarding matters whenever you are working with children or young people. You are responsible for following the safeguarding duties that apply to you.
18.2 Where there is an immediate risk of serious harm, call 999 first.
18.3 The Child Safeguarding Policy sets out how to report a concern. If a concern, disclosure, allegation or suspicion arises in connection with an Assignment HHMS has arranged, follow that Policy and tell us without delay.
18.4 Safeguarding concerns should not be investigated by you. They should be reported to the appropriate safeguarding body and to HHMS, in line with the circumstances and the Child Safeguarding Policy.
19. Health and safety
19.1 As a self-employed Tutor you are responsible for managing health and safety risks arising from your own tuition activities and for following any health and safety duties that apply to you.
19.2 Before an Introduction, HHMS passes on what the Client has told us about any known health and safety risks relating to the Assignment and the measures in place to prevent or control them. If the Client has told us there are none, we let you know that too.
19.3 If you reasonably believe a lesson presents a serious or immediate risk to you, the Student or anyone else, you should not continue until it is safe to do so.
19.4 Telling us about any serious accident, incident or significant health and safety concern connected with an Assignment HHMS has arranged, as soon as you reasonably can, allows us to act where it falls within our employment agency and administrative role.
20. Who to contact for what
20.1 HHMS handles the employment agency and administrative side. That covers TutorCruncher and scheduling administration, payment administration, changes to your profile or availability, administrative issues with an Introduction or Assignment, safeguarding concerns, and serious incidents connected with an Assignment we have arranged.
20.2 HHMS is not involved in the tuition itself. Teaching methods, lesson content, a Student’s progress and learning goals, rescheduling and additional lessons are matters between you and the Client, and are best discussed with them directly.
20.3 If you have trouble with TutorCruncher, Stripe Connect or another system connected with your Assignment, HHMS will help where it can, including liaising with the relevant provider where appropriate and within the scope of its role.
20.4 If you are not sure who to contact, or need administrative support, email info@haytohms.co.uk.
